On February 14, 2014, pursuant to the Order Approving Distribution Plan ("the Distribution Order"), payments were made to all Authorized Claimants who were eligible to receive a payment of at least $10.00 from the distribution. Pursuant to the Distribution Order, Authorized Claimants whose distribution amounts were less than the $10.00 payment threshold will not receive a payment from the distribution.


The In re Wachovia Preferred Securities and Bond/Notes Litigation is a class action lawsuit brought by investors alleging that they suffered damages as a result of material misrepresentations and omissions in the offering materials for each of the Bond Class Securities listed below in violation of the federal Securities Act of 1933 by various persons, including (a) the Wachovia Defendants; (b) the Underwriter Defendants; and (c) KPMG.

The Court-appointed Lead Bond/Notes Plaintiffs, Orange County Employees’ Retirement System, Louisiana Sheriffs’ Pension and Relief Fund, and Southeastern Pennsylvania Transportation Authority, on behalf of themselves and the Settlement Class, have reached agreements to settle the Action for settlement payments totaling $627 million in cash, plus interest thereon, consisting of: (i) a $590 million cash settlement with the Wachovia Defendants (the “Wachovia Settlement”); and (ii) a $37 million cash settlement with defendant KPMG LLP (“KPMG”) (the “KPMG Settlement”) (collectively, the “Settlements”).
